End-User License Agreement (EULA) for Mipatient Ltd


This End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and miPatient Ltd. ("Company") for the Coplisio software application, which includes computer software, and may include associated media, printed materials, and online or electronic documentation ("Software").
By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Software.

 

1. Grant of License
The Company grants you a non-exclusive, non-transferable license to use the Software for your personal, non-commercial purposes under the terms and conditions of this EULA. You may:
Install and use the Software on your devices;
Use the Software according to the documentation provided with the Software.

 

2. Restrictions
You may not:
Modify, distribute, or make copies of the Software, except as provided in this EULA or allowed by any applicable law;
Reverse engineer, decompile, or disassemble the Software, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation;
Rent, lease, lend, sell, redistribute, or sublicense the Software;
Remove any proprietary notices or labels on the Software.

 

3. Intellectual Property Rights
The Software is licensed, not sold. This EULA does not convey to you an interest in or to the Software, but only a limited right of use, revocable in accordance with the terms of this EULA. The Company and its licensors retain all right, title, and interest in and to the Software (including any changes, modifications, or corrections thereto) and any copies thereof.

 

4. Termination
This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice from the Company if you fail to comply with any term(s) of this EULA. Upon termination of the EULA, you shall cease all use of the Software and destroy all copies, full or partial, of the Software.

 

5. Disclaimer of Warranties
The Software is provided "as is," with all faults, and without warranty of any kind. The Company hereby disclaims all warranties and conditions with regard to the Software, whether express, implied, or statutory, including, but not limited to, the implied warranties and/or conditions of merchantability, of satisfactory quality, of fitness for a particular purpose, of accuracy, and of non-infringement of third-party rights.

 

6. Limitation of Liability
In no event shall the Company be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, for business interruption, for personal injury, for loss of privacy, for failure to meet any duty including of good faith or of reasonable care, for negligence, and for any other pecuniary or other loss whatsoever) arising out of or in any way related to the use of or inability to use the Software, the provision of or failure to provide Support Services, or otherwise under or in connection with any provision of this EULA, even if the Company or any supplier has been advised of the possibility of such damages.
